1. Independent Contractor Status

Referral partners are independent contractors and are NOT employees, agents, or representatives of GeauxPro Air LLC. You have no authority to bind GeauxPro Air to any agreement or obligation.

2. Prohibited Representations

You may NOT present yourself as an employee, agent, or official representative of GeauxPro Air. You may not use company email addresses, business cards, or any materials that suggest employment or agency relationship. All communications must clearly identify you as an independent referral partner.

3. Commission Payment Terms

• Commissions are paid ONLY on completed and converted referrals
• A referral is considered "completed" when the customer has received service AND paid in full
• Payouts are processed weekly on Fridays for all completed referrals from the previous week
• Minimum payout threshold is $25 - balances below this will roll over to the next week
• GeauxPro Air reserves the right to withhold payment for fraudulent or suspicious referrals

4. Referral Tracking & Validity

All referrals must come through your unique tracking link to be eligible for commission. Referrals are valid for 90 days from initial contact. If a customer does not convert within 90 days, the referral expires and no commission will be paid.

5. Permitted Distribution Channels

You may share your referral link through:

• Your personal website or blog
• Social media platforms (Facebook, Instagram, TikTok, etc.)
• Email marketing to your own contact list
• Paid advertising (with prior approval)
• Any other legal distribution method

6. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination:

• Spam or unsolicited bulk email
• False or misleading advertising
• Trademark or brand misuse
• Self-referrals or fraudulent referrals
• Cookie stuffing or other deceptive tracking methods
• Bidding on GeauxPro Air brand terms in paid search

7. Tax Responsibility

As an independent contractor, you are responsible for all applicable taxes on your commission earnings. GeauxPro Air will issue a 1099-NEC form for earnings over $600 per calendar year. You are responsible for reporting all income to the IRS.

8. Program Modifications & Termination

GeauxPro Air reserves the right to modify commission rates, terms, or terminate the referral program at any time with 30 days notice. We also reserve the right to terminate individual referral partnerships immediately for violation of these terms.

9. Liability & Indemnification

You agree to indemnify and hold harmless GeauxPro Air from any claims, damages, or expenses arising from your referral activities, including but not limited to violations of these terms, false advertising, or misrepresentation.

10. Confidentiality

You agree to keep confidential any proprietary information, customer data, or business practices you may learn through participation in this program. Customer information may not be used for any purpose other than facilitating referrals to GeauxPro Air.

11. Governing Law

This agreement is governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Harris County, Texas.
